Terms & Conditions

These Terms & Conditions govern access to and use of services provided by Divyal Technologies (“Company”, “we”, “us”). By accessing our website or engaging our services, you (“Client”, “User”) agree to these Terms.

1. Scope of Services

  • Custom application development (web, mobile, enterprise systems)
  • API design and backend systems
  • AI/ML and LLM-based systems
  • Cloud architecture, DevOps, and infrastructure management
  • System maintenance, monitoring, and support

All services are delivered strictly as defined in executed Statements of Work (SOWs), Master Service Agreements (MSAs), or equivalent contractual documents.

2. Service Delivery Model

  • Services are delivered using defined development methodologies (e.g., Agile, iterative delivery)
  • Deliverables, milestones, and acceptance criteria are specified in the SOW
  • Client dependencies (data, access, approvals) must be fulfilled to maintain delivery timelines
  • Any deviation from agreed scope is handled via change requests (CRs) and may impact cost and schedule

3. Intellectual Property Rights

  • Ownership of deliverables is transferred to the Client upon full and final payment, unless otherwise specified
  • Divyal Technologies retains rights to pre-existing IP, frameworks, libraries, and reusable components
  • General development practices, architectural patterns, and non-client-specific assets remain with the company
  • Third-party software, APIs, and tools are governed by their respective licenses and terms

4. Payment Terms

  • Payment schedules, billing cycles, and milestones are defined in the governing agreement
  • Invoices are payable within the agreed credit period
  • Delays in payment may result in suspension of services, withholding of deliverables, or reprioritization of resources
  • Fees exclude applicable taxes unless explicitly stated

5. Data Security & Compliance

  • Systems are designed following industry-standard security practices (secure coding, access control, encryption where applicable)
  • Compliance support (e.g., GDPR, HIPAA-aware workflows) is implemented as per project scope
  • The Client is responsible for defining compliance requirements, ensuring lawful data usage, and providing secure access credentials

6. Confidentiality

  • Both parties agree to maintain strict confidentiality of all non-public information
  • Confidential data shall not be disclosed, copied, or reused outside the scope of the engagement
  • This obligation survives termination of the agreement

7. System Availability & Support

  • Support, uptime commitments, and SLAs are defined in separate agreements (if applicable)
  • Monitoring, incident response, and maintenance are provided based on the selected support model
  • Divyal Technologies is not responsible for downtime caused by third-party services, infrastructure providers, or client-side configurations/misuse

8. Third-Party Dependencies

  • Solutions may include integrations with third-party platforms (payment gateways, cloud providers, APIs)
  • Divyal Technologies does not guarantee availability, performance, or continuity of third-party services or pricing
  • Any changes in third-party systems may require additional development effort

9. Limitation of Liability

  • Divyal Technologies shall not be liable for indirect, incidental, or consequential damages
  • This includes loss of revenue, data, or business interruption
  • Total liability shall be limited to the fees paid for the specific service engagement

10. Termination

  • Either party may terminate the agreement as per defined contractual terms
  • Work completed up to the termination date will be invoiced
  • Access to systems and services may be revoked upon termination
  • Transition support may be provided if agreed

11. Change Management

  • Any modification to scope, timelines, or deliverables must be documented through a formal change request process
  • Changes are subject to impact analysis and mutual approval

12. Warranty Disclaimer

  • Services are provided on a 'best effort' and 'as delivered' basis unless otherwise contractually defined
  • No implicit warranties are provided regarding fitness for a particular purpose or uninterrupted/error-free operation

13. Governing Law

  • These Terms shall be governed by applicable laws as defined in the governing agreement between the parties
